The below terms and conditions govern your access to and use of middleturtle.com and related applications, including any content, functionality, and services offered on or through the same (collectively, and with any replacements thereof, the “Website”). The Website, along with any services and functionalities offered through the Website may collectively be referred to as “Services” herein.
Within this policy, “you” or “User” means a user of the Services, and “we”, “us”, “our” or “Middle Turtle” refers to Middle Turtle, Inc., a Delaware corporation.
By using the Services, or by clicking to accept or agree to the Terms of Use when this option is made available to you, you accept and agree to be bound by and to abide by these Terms of Use and our Privacy Policy, found at www.middleturtle.com/privacy-policy/, incorporated herein by reference (together, the “Policy”). If you do not want to agree to the Policy at any time, you must not continue to access or use the Services.
THESE TERMS INCLUDE A WAIVER OF YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT.
The Services are offered only to individuals aged 18 or older who are located in the United States.
1. General. We may revise and update this Policy from time to time in our sole discretion. All changes are effective immediately when we post them, or if required by law, when we provide notice to you of such changes. We may make non-substantive updates or clarify existing provisions without notifying you, where allowable by law. Such changes apply to all access to and use of the Services thereafter, and your continued use of the Services means that you accept and agree to the changes. We will send any notices and messages to you via the email address you provide to us when creating an Account on the Website, and you agree to keep your contact information up to date. You are also subject to any additional posted policies and rules related to specific Services and features which may be presented to you at the time of accessing and/or using such Services or features. All such policies are incorporated by reference into this Policy and made part of this Policy.
2. Provision of Services. We reserve the right to withdraw or amend any portion of the Services in our sole discretion without notice. We will not be liable if for any reason all or any part of the Services is unavailable at any time or for any period. From time to time, we may restrict access to some or all parts of the Services, to some or all Users.
3. Your Account. Users may be required to make an account to use certain Services we offer (each, an “Account”). Without an Account, you may only be able to engage with certain aspects of the Services. For clarity, this Policy applies to all Users, with or without an Account, except as otherwise set forth in specific provisions. If you do create an Account, you must provide true, accurate, current, and complete information when creating the Account, and you agree to promptly update Account information in the event it changes. You are solely responsible for maintaining the confidentiality of any password you choose; you should not provide your Account information to any other person. Your Account may be used only by you personally for your individual purposes. You are fully responsible for all activities that occur under your Account.
4. User Acknowledgements.
4.1. You acknowledge that the Services may enable Users to share information, ideas, and content with one another. Middle Turtle does not control, verify, endorse, or take responsibility for any information, ideas, advice, or other content provided by other Users. Middle Turtle has no obligation to monitor, audit, review, or verify any content, information, or communications submitted by Users through the Services. You agree that Middle Turtle shall have no liability for any information you obtain from other Users, and you assume all risk associated with your reliance on or use of such information. For the avoidance of doubt, without limiting the generality of the foregoing, Middle Turtle assumes no responsibility for any interactions taking place outside of the Website.
4.2. The Services may offer the option to opt in to have certain information, including your areas of interest, project descriptions, and contact details, shared with other Users who have expressed interest in similar ideas, projects, or topics. If you opt in, you acknowledge and agree that Middle Turtle has no responsibility for how other Users may interpret or make use of the information you have shared. You may adjust your sharing preferences at any time through your Account settings, or where such option is not available, by reaching out to us using hello@middleturtle.com.
4.3. You acknowledge that the Services are designed to facilitate the exchange of knowledge and ideas among Users. You understand and agree that Middle Turtle may de-identify, aggregate, compile, analyze, and use questions, ideas, suggestions, responses, and other content submitted by Users in connection with the Services, including to improve the Services, develop educational resources, and to understand whether a group of Users may be interested in the same topics. You are solely responsible for understanding when certain knowledge and information may be proprietary to you or which you may desire to protect as your intellectual property. You should not submit any information, ideas, or content that you consider proprietary or confidential, or of which you claim intellectual property rights.
4.4. Middle Turtle does not vet or verify credentials of individuals you may be introduced to on or through the Services; you are solely responsible for any communications with or engagement with any individuals you meet or are introduced to through the Services. If you connect with or meet (virtually or in-person) other Users of the Services, Middle Turtle disclaims responsibility for any interactions, arrangements, or transactions that occur between Users. If you enter into a contract with any other User, Middle Turtle is not involved in such contracts or the negotiation of the same, and will not participate in enforcing any such agreements.
4.5. Middle Turtle may, from time to time, offer Users the opportunity to participate in surveys, questionnaires, or similar requests for information through the Services. Your responses will be treated similarly to any other content or information you share on the Services, and as such, you acknowledge and agree that your responses may be used by Middle Turtle for any purpose, including but not limited to analysis, research, development of the Services, disclosure to other Users (subject to your opt-in for certain sharing as set forth above), and disclosure to third parties to the extent described in the Privacy Policy.
4.6. Users acknowledge and agree that information shared through the Services (whether from Middle Turtle or other Users) does not constitute legal, financial, investment, tax, or other professional advice, and users should consult qualified professionals before making decisions. Middle Turtle does not vet or verify the legitimacy or viability of any opportunities shared by Users, and Middle Turtle disclaims any endorsement of business ventures or other project opportunities which may be discussed on, or introduced by other Users of, the Services. Further, any educational or instructional materials offered by Middle Turtle are for informational purposes only, and you acknowledge that they may not be appropriate for all situations; you are responsible for understanding whether such materials are appropriate for your situation, and you agree that Middle Turtle will have no liability arising from your reliance on such materials.
5. Use Restrictions. Users shall not (i) use the Services in any manner that damages, disables, overburdens, or impairs the Services, or interferes with any other party's use of the Services, or in any other manner that is unlawful or prohibited by this policy; (ii) scrape information, data, or content made available through the Services, by any means, manually or through a software program; (ii) create an Account for anyone other than yourself, or give or allow anyone else access to your Account; (iv) access data of a third party through the Services not intended for you; or (v) lease, distribute, license, transfer, sell, or otherwise commercially exploit the Services or your access to the same.
6. Intellectual Property.
6.1. As between Middle Turtle and each User, Middle Turtle owns all of the intellectual property rights related to and incorporated within the Services, including but not limited to, any software code incorporated therein. You agree you will not try to discover any software code, or reverse engineer any portion, of the Services. You will not attempt to copy or make derivatives of the content presented on the Services, whether for your own use or to provide the same to others. You agree that all of Middle Turtle's trademarks, trade names, service marks, trade dress, and other Middle Turtle logos and brand features, and product and service names, are the property of Middle Turtle (the “Middle Turtle Marks”). You agree not to display or use in any manner the Middle Turtle Marks without prior written consent from Middle Turtle. You agree not create derivative works based on the Services. All rights not expressly granted herein are fully reserved by Middle Turtle.
6.2. You agree that if you provide us any comments about the Services, and/or any suggested revisions, additions, ideas, or developments to the Services (collectively, "Feedback"), such Feedback shall be the sole and exclusive property of Middle Turtle, and you will have no right, title or interest of any kind or nature therein or thereto, or in and to any results and proceeds therefrom.
6.3. You agree that any information, ideas, content, or materials you voluntarily submit, post, or disclose through the Services shall not be subject to any claim of intellectual property rights by you against Middle Turtle (or against any other User of the Services to the extent you share it publicly or opt-in to sharing with other Users). By voluntarily disclosing such information through the Services, you acknowledge that you have no expectation of confidentiality or proprietary protection with respect to such disclosure, and you waive any right to assert intellectual property claims against Middle Turtle (and against any other User of the Services to the extent you share such information publicly or opt-in to sharing with other Users) based on use of such voluntarily disclosed information.
7. Suspension and Termination.
7.1. You may terminate your use of the Services at any time by logging into your Account if you have one, and terminating your Account when such option is made available to you; otherwise, you may contact us at the email address set forth in this policy to terminate your Account, or reach out to hello@middleturtle.com.
7.2. You agree that Middle Turtle may, without prior notice, immediately terminate, suspend, or otherwise limit your access to or use of the Services, by terminating your Account or otherwise, for any reason or no reason, including as a result of (i) breaches or violations of this Policy or other guidelines which may be provided to you from time to time; (ii) requests by law enforcement or other government agencies; (iii) discontinuance or material modification to the Services; (iv) unexpected technical or security issues or problems; (v) extended periods of inactivity; (vi) engagement by you in fraudulent or illegal activities; and/or, (vii) nonpayment of any fees owed by you in connection with the Services. Further, you agree that all terminations, limitations of access, and suspensions shall be made in Middle Turtle's sole discretion and that Middle Turtle will not be liable to you or any third party for any termination of your Account or use of the Services. Middle Turtle may also delete certain content that you upload or submit, without terminating or suspending your Account, in the discretion of Middle Turtle.
8. Disclaimer. MIDDLE TURTLE MAKES NO REPRESENTATIONS OR WARRANTIES ABOUT THE SERVICES, THE SUITABILITY OF THE INFORMATION CONTAINED ON OR RECEIVED THROUGH USE OF THE SERVICES, OR ANY RESULTS RECEIVED OR ACHIEVED THROUGH THE SERVICES. THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. MIDDLE TURTLE SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ALL WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE. MIDDLE TURTLE MAKES NO WARRANTY OF ANY KIND THAT THE SERVICES, OR ANY PRODUCTS OR RESULTS OF THE USE THEREOF, WILL: MEET A USER’S OR ANY OTHER PERSON’S REQUIREMENTS; OPERATE WITHOUT INTERRUPTION OR BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; ACHIEVE ANY INTENDED RESULT; BE COMPATIBLE OR WORK WITH ANY SOFTWARE, SYSTEM OR OTHER SERVICES; OR BE SECURE, ACCURATE, RELIABLE, COMPLETE, FREE OF HARMFUL CODE, OR ERROR FREE. MIDDLE TURTLE FURTHER MAKES NO WARRANTY OF ANY KIND THAT ANY DEFECTS OR ERRORS OF THE SERVICES WILL BE CORRECTED, OR THAT THE CONTENTS OR ANY INFORMATION RECEIVED THROUGH THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
9. Limitation of Liability. UNDER NO CIRCUMSTANCES WILL MIDDLE TURTLE, INCLUDING ITS STOCKHOLDERS, MANAGERS, DIRECTORS, OFFICERS, REPRESENTATIVES, SUCCESSORS, HEIRS, ASSIGNS, ATTORNEYS, ACCOUNTANTS, AND AFFILIATES, BE LIABLE FOR ANY INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, CONSEQUENTIAL, OR INDIRECT DAMAGES (INCLUDING, BUT NOT LIMITED TO, LOST PROFITS, LOSS OF BUSINESS, DATA DELETION, DATA CORRUPTION, OR LOSS OF DATA, LOSS OF PROGRAMS, FAILURE TO STORE ANY INFORMATION OR OTHER CONTENT MAINTAINED OR TRANSMITTED BY THE SERVICES, SERVICE INTERRUPTIONS, INTERRUPTION OF BUSINESS, OR FOR THE COST OF PROCUREMENT OF SUBSTITUTE SERVICES) ARISING OUT OF OR IN CONNECTION WITH THE USE OF THE SERVICES, HOWEVER ARISING. SHOULD MIDDLE TURTLE BE FOUND LIABLE TO ANY USER UNDER ANY CLAIM OR CAUSE OF ACTION, EACH USER AGREES THAT IN ANY CASE, THE MAXIMUM AMOUNT OF DAMAGES THAT MIDDLE TURTLE MAY BE LIABLE FOR ARISING FROM THIS AGREEMENT OR THE USE OF THE WEBSITE OR SERVICES WILL NOT EXCEED $100.00. BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, LIABILITY IN SUCH JURISDICTIONS SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW OF SUCH JURISDICTION.
10. Indemnification. You agree to defend, indemnify, and hold harmless Middle Turtle, along with its affiliates, subsidiaries, parents, successors, assigns, officers, directors, employees, agents, and shareholders, from all liabilities, claims, demands, and expenses, including attorney's fees, made by any third party that arise from (i) your use of the Services, (ii) your violation of this Policy, and (iii) your violation of any rights or policies of another party. Middle Turtle reserves the right, at your expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you shall cooperate with Middle Turtle in asserting any available defenses.
11. Third-Party Links. The Services may contain links to third-party websites, resources, tools, or content that are not owned or controlled by Middle Turtle. Middle Turtle has no control over, and assumes no responsibility for, the content, accuracy, privacy policies, or practices of any third-party websites or resources. Your interactions with any third-party websites or resources are solely between you and such third party, and you access such websites and resources at your own risk.
12. Infringement; DMCA Notice. We take claims of copyright infringement seriously. We will respond to notices of alleged copyright infringement that comply with applicable law. If you believe any materials accessible on or from the Website infringe your copyright, you may request removal of those materials (or access to them) from the Website by submitting written notification to our copyright agent at hello@middleturtle.com. The written notice must include substantially all the details as required by the Online Copyright Infringement Liability Limitation Act of the Digital Millennium Copyright Act (17 U.S.C. § 512), and the "Elements of notification" required by 17 U.S.C. § 512(c)(3) are incorporated herein by reference. Please be aware that if you knowingly materially misrepresent that material or activity on the Website is infringing your copyright, you may be held liable for damages (including costs and attorneys’ fees) under Section 512(f) of the DMCA.
13. Disputes; Governing Law. YOU SHOULD READ THIS SECTION CAREFULLY AS IT MAY SIGNIFICANTLY AFFECT YOUR LEGAL RIGHTS.
13.1. USERS AGREE THAT ANY CLAIMS WILL BE ADJUDICATED ON AN INDIVIDUAL BASIS, AND ALL USERS WAIVE THE RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, OR OTHER JOINT ACTION WITH AS AGAINST MIDDLE TURTLE ARISING FROM THE USE OF THE WEBSITE OR SERVICES PROVIDED.
13.2. ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OF USE OR THE WEBSITE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.
13.3. YOU HEREBY WAIVE YOUR RIGHT TO A JURY TRIAL OF ANY CLAIM OR CAUSE OF ACTION BASED UPON OR ARISING OUT OF THIS POLICY OR YOUR USE OF THE SERVICES.
13.4. This Agreement shall be governed by, construed, and enforced in accordance with the laws of the State of Indiana without giving effect to the conflicts or choice of law provisions thereof. Any action or proceeding seeking to enforce any provision of, or based upon any right arising out of, this Agreement shall be brought in any court of appropriate jurisdiction in Marion County, Indiana.
14. Geographic Restriction. We make no claim that the Website or any of its content is accessible or appropriate outside of the United States. Access to the Website may not be legal by certain persons or in certain countries. If you access the Website from outside the United States, you do so on your own initiative and you are responsible for compliance with local laws.
15. Payment and Billing. In the event that you engage with any Services that require payment (which will be disclosed to you at the time you select such Services), we may engage a third-party payment provider to process such payments on our behalf, and you should review the policies of that third party payment provider. We reserve the right to invoice any taxes to you if we are obliged to collect or pay taxes based upon your purchase.
16. Entire Agreement. This Policy and any terms referenced within this Policy as being incorporated herein, and any other terms you may agree to as you navigate the Website, contain the entire agreement between Middle Turtle and you as a User of the Services. No other communications, whether direct or indirect, between you and Middle Turtle will, or are intended to, alter or supersede any provision of this Policy.
17. Waiver and Severability. No waiver by Middle Turtle of any term or condition set out in this Policy shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Middle Turtle to assert a right or provision under this Policy shall not constitute a waiver of such right or provision. If any provision of this Policy is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of this Policy will continue in full force and effect.
